TERMS AND CONDITIONS OF SALE


SAS AGUTTES (“AGUTTES”) is a French voluntary auction house registered with the Conseil des maisons de vente and governed by Articles L.321-4 et seq. of the French Commercial Code. In this capacity, AGUTTES acts as an agent for the seller, who enters into a contract with the successful bidder. These General Terms and Conditions of Sale (“GTC”) govern the relationship between AGUTTES and bidders in public auctions and private sales organized by AGUTTES. The GTC may be modified verbally or in writing by AGUTTES prior to the sale. Such changes will be recorded in the official auction minutes.


I – THE ITEM FOR SALE

Description of Lots : The information given in the catalogue is binding on AGUTTES and its expert, subject to the provisions below. Only information in French is legally binding; translations are non-binding. The information may be amended or corrected in writing or orally up until the time of sale. These modifications will be noted in the official sale record, which shall be deemed legally binding. No other guarantees are provided by AGUTTES; only the seller is liable for hidden defects and legal conformity. A certificate of authenticity is provided only if mentioned in the lot description. Dimensions, weights, and other lot data are provided for guidance only and may include reasonable margins of error. Restorations performed for preservation, which do not alter the character, age, or style of the item, will not be mentioned. The absence of a note about a restoration, defect, or damage in the catalogue or condition report does not imply the lot is free from past, present, or repaired damage. Conversely, any mention of a defect does not imply the absence of others. Special symbols in the catalogue denote: ~ Lots made from animal species materials, possibly subject to import restrictions; = Lots requiring a deposit.

Condition of Lots : Lots are sold as-is at the time of the sale, with all their imperfections and defects. As second-hand goods, no warranty can be given as to their condition. References to condition in catalogues or condition reports (provided for information only) should not be regarded as complete descriptions. Buyers should examine lots personally before the sale either privately or during the public exhibition. Buyers are advised to bring an expert from the relevant field.

Lot Images: Not all defects and imperfections are visible in photographs. Photographs may not accurately represent the actual condition or color of a lot.

Estimates : Estimates are based on current market knowledge, the lot’s quality, provenance, condition, and market trends at the time of valuation. They are given for guidance only and are not a guarantee of sale price.


II – THE SALE

Registration for Sale : The primary and recommended method of bidding is in person at the sale room. Other methods are offered as a service and require prior registration:

  1. By Telephone : AGUTTES offers phone bidding free of charge to bidders who contact them before 6:00 p.m. on the last working day before the sale and receive a confirmation email.
  2. Absentee Bid : Registered bidders may submit written absentee bids before 6:00 p.m. on the last working day before the sale. Confirmation by email from AGUTTES is required. No unlimited bids are accepted. In case of identical bids, the earlier one has priority.
  3. Online via Live Platforms : Online bidding is available through pre-registration on dedicated platforms. Platform fees are the responsibility of the buyer.

All remote bidding methods (telephone, internet, absentee) are at the bidder’s own risk. AGUTTES is not liable for any failure to execute bids due to technical problems, absence of bidder response, or other interruptions.

Bidder Identification : AGUTTES may require proof of identity for individuals and a company extract (Kbis less than 3 months old) for legal entities. Only a legal representative or duly authorized person may bid. Incomplete identification procedures may result in denial of registration. Lots will be invoiced in the name and address of the registered bidder only, with no post-sale changes permitted.

Deposit Requirement : For certain sales or lots, AGUTTES may require a deposit or bank references. Deposits must be made via bank transfer or credit card in euros at https://aguttes.com/depot-caution . If the bidder is unsuccessful, the deposit will be refunded within 14 business days. Currency exchange losses or bank fees are the sole responsibility of the bidder.

Third-Party Bidding : Bidders acting on behalf of others must notify AGUTTES during registration, providing a power of attorney and supporting documents. Both the agent and principal are jointly liable.

Auction Process : The auctioneer conducts the sale at their discretion, ensuring fairness and order. They may refuse bids or withdraw lots without explanation.

Winning Bid : The highest bidder is the purchaser once the word “Adjugé” is pronounced, creating a contract between buyer and seller. Sellers are not permitted to bid on their own lots.

Tie Bids : In the case of a recognized tie, the lot will be re-auctioned.

No Withdrawal : Bids and sales are final. No withdrawal is allowed regardless of the bidding method.

Transfer of Risk and Ownership: Ownership and risk transfer to the buyer once the lot is declared “sold.” Buyers must insure their lots immediately after purchase. AGUTTES accepts no liability for damage after this point.


III – EXECUTION OF THE SALE

Currency : Sales and commissions are in euros.

Buyer’s Premium : In addition to the hammer price:

  1. 30% on the first €150,000
  2. 25% above €150,001

Applicable taxes and handling/storage fees are also charged. Payment is due in full, in euros, immediately upon adjudication. Bank charges are not deductible.

VAT : No VAT on buyer’s premium (unless stated otherwise).

Payment Methods :

  1. Credit Card : No fee (except for American Express, charged at 2.95% incl. VAT). Remote or installment card payments are not accepted.
  2. Online : Up to €10,000 via https://aguttes.com/paiement-en-ligne

Default by Buyer : If not paid in full, the lot may be re-offered at the seller’s request under Article L.321-14 of the Commercial Code. Absent this request within 3 months, the sale is void. In all cases, the defaulting buyer owes AGUTTES:

  1. All recovery costs (including legal fees)
  2. Late payment penalties (ECB Refi rate + 5%)
  3. Compensation for any loss (fees, commissions, storage, etc.)

AGUTTES may :

  1. Share buyer details with the seller
  2. Exercise retention rights on other property held
  3. Bar the buyer from future sales or require advance payment
  4. Register the buyer with the central default register shared by auction houses (SYMEV). Rights under data protection laws can be exercised via Symev, 15 rue Freycinet, 75016 Paris.

Collection and Storage: Lots are released only after full payment. Collection is at the buyer’s expense and risk. Lots not collected the same day must be collected by appointment. Collection location will be stated in the invoice email. Storage fees apply (see special conditions).

Resale of Paid, Uncollected Lots: If not collected within the agreed timeframe, and if storage costs exceed the lot value, AGUTTES may resell the lot to recover its dues.


IV – RIGHT OF PREEMPTION

A right of preemption may be exercised on any public or private cultural property sale.


V – EXPORT

Export formalities (e.g., cultural property certificates, export licenses) are the buyer’s responsibility and may take up to 4 months. AGUTTES can assist but is not liable for delays or refusals. Refusal or delay in obtaining export documents does not justify late payment or cancellation.


VI – GOVERNING LAW AND JURISDICTION

Any disputes arising from or relating to these GTC (including validity, interpretation, or enforcement) are subject to the law of the place where the sale is executed or relevant international private law.


VII – PERSONAL DATA

Bidders are informed that AGUTTES may collect and process their data in accordance with GDPR (Regulation EU 2016/679) and the French Data Protection Law (No. 78-17 of January 6, 1978, as amended). Data is used for contract management (registration, invoicing, accounting, communication). Data includes: names, addresses, emails, phone numbers, bank details. Bidders have rights of access, rectification, erasure, portability, objection, and restriction, exercisable via: communication@aguttes.com. Complaints may be filed with CNIL: https://cnil.fr .


VIII – INTELLECTUAL PROPERTY

AGUTTES retains reproduction rights for its catalogues. Any reproduction constitutes infringement. The sale of a lot does not include transfer of intellectual property rights (e.g., representation or reproduction rights) unless stated otherwise.


IX – SPECIAL CONDITIONS

Storage Fees : Lots must be collected within 48 hours. After this, they will be moved to a storage facility at the buyer’s expense. A transporter will be present on sale day to provide quotes.

Mechanical and Electrical Items : These are sold as decorative items. As second-hand goods, AGUTTES does not guarantee functionality. Buyers should inspect such lots with an expert and have them professionally checked before use.

Furniture : Unless explicitly mentioned, keys are not guaranteed.

X - SPECIFIC CONDITIONS OF SALE

May 24th

1 - Reserve Price

Certain lots will have minimum prices (reserve prices).

2 - The Sale

The sale will consist of two collections: one from the owner of the residence located in Prangins, Switzerland (canton of Vaud), and another from a separate Swiss collection. This indication (*) will be made known to buyers.

3 - Collection of Lots

Purchased lots must be collected on-site on Saturday 25th, Sunday 26th, and Monday 27th of May.

After this period, items will be transferred to MOVIIU Geneva at the buyers' expense under the following conditions:

  1. 1–2 items (less than 1m³): CHF 95 excl. VAT
  2. 3–4 items (max 1m³): CHF 135 excl. VAT
  3. 5–9 items (max 2m³): CHF 215 excl. VAT

For large or bulky lots, estimates and quotes will be provided on-site.

Included: Materials, basic packing, loading, and return to the depot.

A handling fee of CHF 50 excl. VAT will also apply.

One week of free storage is included.
